Welcome to Service Medium ("Platform"), operated by Whatznot Technology OPC Private Limited ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Service Medium platform, including our website, mobile applications, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

3. Platform Description

Service Medium is a marketplace platform that connects service providers ("Sellers") with customers ("Buyers") for the provision of various professional services. The Platform facilitates:

• Service listing and discovery
• Project creation and bidding
• Secure payment processing through escrow
• Milestone-based project management
• Communication between parties
• Dispute resolution

4. User Accounts

4.1 Registration

To use certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4.2 Account Eligibility

You must be at least 18 years old to use our Services. By using the Platform, you represent and warrant that you meet this requirement.

4.3 KYC Verification

To access certain features, including withdrawals, you may be required to complete Know Your Customer (KYC) verification by providing valid identification documents. We reserve the right to suspend or terminate accounts that fail to complete KYC verification.

5. Services and Transactions

5.1 Service Listings

Sellers may create service listings ("Services") on the Platform. Sellers are responsible for:

• Accurate description of services offered
• Pricing and delivery timelines
• Quality of work delivered
• Meeting commitments made to Buyers

5.2 Projects and Bidding

Buyers may create projects and Sellers may submit proposals. The acceptance of a proposal creates a binding agreement between the Buyer and Seller, subject to these Terms.

5.3 Platform Role

Service Medium acts as a marketplace platform and is not a party to transactions between Buyers and Sellers. We do not guarantee the quality, safety, or legality of services offered or delivered.

6. Payment Terms

6.1 Platform Fees

Service Medium charges a platform fee of 1% on all transactions. This fee is deducted from the Seller's earnings and is non-refundable.

6.2 Payment Processing

We use third-party payment processors including:

• Razorpay: For Indian transactions (INR)
• PayPal: For international transactions

Payment gateway fees are charged separately by the payment processor and are non-refundable.

6.3 Escrow System

All project payments are held in escrow until:

• The milestone is completed and approved by the Buyer
• The auto-release period expires (if applicable)
• A dispute is resolved in favor of the Seller

6.4 Withdrawals

Sellers may withdraw their available balance to their linked bank account or payment method. Withdrawal processing time varies by payment method and location.

6.5 Currency

The Platform supports multiple currencies (INR, USD, EUR, GBP, AUD, CAD). Exchange rates are applied at the time of transaction using current market rates plus applicable conversion fees.

7. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Engage in fraudulent or deceptive practices
• Harass, abuse, or harm other users
• Attempt to circumvent platform fees
• Use the Platform for unauthorized commercial purposes
• Upload malicious code or viruses
• Scrape or collect user data without permission
• Create multiple accounts to manipulate the system
• Engage in any activity that disrupts the Platform

8. Intellectual Property

8.1 Platform Content

All content, trademarks, logos, and intellectual property on the Platform are owned by Whatznot Technology OPC Private Limited or our licensors. You may not use, reproduce, or distribute any Platform content without our written permission.

8.2 User Content

You retain ownership of content you upload to the Platform. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content for Platform operations.

8.3 Work Product

Intellectual property rights in work delivered by Sellers transfer to Buyers upon full payment, unless otherwise agreed between the parties.

9. Dispute Resolution

9.1 Disputes Between Users

We provide a dispute resolution system for conflicts between Buyers and Sellers. Users are encouraged to resolve disputes through direct communication first.

9.2 Platform Mediation

If direct resolution fails, either party may escalate the dispute for Platform mediation. Our support team will review evidence and make a binding decision on escrow fund release.

9.3 Arbitration

Any disputes with the Platform itself shall be resolved through arbitration in accordance with Indian arbitration laws, with proceedings conducted in West Bengal, India.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided "as is" without warranties of any kind
• We are not liable for the quality or outcome of services exchanged on the Platform
• We are not responsible for user-generated content or actions
• Our total liability is limited to the fees paid to us in the past 12 months
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for payment processor errors or delays

11. Indemnification

You agree to indemnify and hold harmless Service Medium, Whatznot Technology OPC Private Limited, and our affiliates from any claims, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your use of the Services
• Your violation of any third-party rights
• Services you provide or receive through the Platform

12. Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of other users
• Non-payment of fees
• Any other reason at our discretion

You may terminate your account at any time. Upon termination, you remain liable for all outstanding obligations.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the modified Terms.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of India. Any legal proceedings must be brought in the courts of West Bengal, India.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.3 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Service Medium.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
